What does a commercial lease include?
A commercial lease sets out the terms on which a tenant occupies a business premises. Key provisions cover the term length, rent, any review mechanism, permitted use of the property, responsibility for repairs and maintenance, the tenant’s right to assign or sublet, and what happens at the end of the term. Commercial leases can be lengthy documents, and most of their terms are negotiable before you sign.
What rights do commercial tenants have when their lease expires?
Commercial tenants who occupy premises for business purposes may have a statutory right to renew their lease upon expiration. This is known as Security of Tenure. Parties can agree to exclude these renewal rights at the outset of the lease, though that requires a formal procedure and for the tenant to receive independent legal advice.
What searches are required when buying commercial property?
Standard searches include local authority, drainage, and environmental searches, as well as any specific searches relevant to the property’s location or use, such as mining, flood risk, or planning searches. The results can affect value, permitted use, and the availability of finance, so reviewing them before the exchange of contracts matters. How long does a commercial property transaction take?
A straightforward lease might complete within four to six weeks. A freehold purchase, particularly one involving financing or complex title issues, will typically take longer. Can I assign my commercial lease to another business?
Most commercial leases allow a tenant to assign the lease to another party, subject to the landlord’s consent. The landlord cannot unreasonably withhold consent, but may impose conditions, such as requiring a rent guarantee from the outgoing tenant or approving the incoming tenant’s financial standing. What are dilapidations?
Dilapidations refers to the condition of a property at the end of a commercial tenancy. Most leases require the tenant to keep the property in good repair and to make good any damage or alterations before returning it. At the end of the lease, the landlord can serve a schedule setting out the work the tenant must carry out or pay for. We advise tenants on their liability under their specific lease and assist in negotiating the final settlement.
What is an overage provision?
An overage clause requires the buyer of land or property to make an additional payment to the seller if certain events occur after the sale, most commonly if planning permission for development is granted and the value of the site increases. Overage provisions can remain in effect for many years after completion. We advise sellers seeking to protect their position and buyers who need to understand what they are agreeing to before they sign.
Do I need a solicitor for a commercial lease?
You are not legally required to use a solicitor, but the consequences of signing a poorly negotiated or misunderstood commercial lease can be serious. A lease can run for years and impose significant financial and repair obligations. Many tenants who sign without advice later find themselves bound by terms they did not fully understand. What is a rent review clause?
A rent review clause allows the rent to be adjusted at intervals during the lease, usually to reflect open market levels.
